Regulatory Compliance

Participate in required Know Your Customer (KYC) and Anti-Money Laundering (AML) processes as mandated by UAE Central Bank regulations and comply with all applicable financial regulations.

Communication Responsiveness

Maintain reasonable responsiveness to communications from Emirates Gateway and our banking partners throughout the advisory process to ensure optimal service delivery.

Fee Payment

Remit agreed-upon advisory fees according to the schedule specified in your service engagement letter, where applicable.

Non-Guaranteed Outcomes

While we employ sophisticated market knowledge and privileged banking relationships, we cannot guarantee specific mortgage approvals, rates, or banking product access as final decisions remain at the discretion of our banking partners.

Information Dependency

Our advice and recommendations are directly contingent upon the accuracy and completeness of the information you provide. Incomplete or inaccurate information may result in suboptimal advisory outcomes.

Market Fluctuations

Banking products, mortgage rates, and financial conditions in the UAE market are subject to change without notice. Recommendations reflect market conditions at the time of advisory provision.

Regulatory Changes

UAE banking and property regulations may change periodically. While we maintain current regulatory knowledge, services are provided based on regulations in effect at the time of advisory delivery.

Independent Verification

You are encouraged to independently verify all information provided and to seek additional professional advice regarding legal, tax, and regulatory matters outside our advisory scope.

Proprietary Content

All market intelligence reports, analytical frameworks, financial models, and advisory methodologies constitute proprietary information and may not be reproduced, distributed, or shared without our express written consent.

Digital Tools

Our calculators, comparison tools, and interactive resources represent proprietary technology and are provided for your personal use exclusively in connection with our advisory services.

Brand Elements

The Emirates Gateway name, logo, visual identity, and all associated branding elements are protected intellectual property and may not be used without prior written authorization.

Content Licensing

Information provided during the advisory process is licensed, not sold, for your personal use only and does not constitute transfer of ownership of any intellectual property rights.

Information Usage

Your personal and financial information will be used solely in accordance with our Privacy Policy, which is incorporated by reference into this Agreement.

Client Confidentiality

We maintain strict confidentiality regarding all client matters and will not disclose your engagement with our services or specific details of your financial circumstances except as required by law or with your explicit consent.

Banking Partner Sharing

Information shared with banking partners is strictly limited to what is necessary for facilitating your specific mortgage applications or banking service arrangements, subject to your prior consent.

Post-Engagement Confidentiality

Our confidentiality obligations extend beyond the active engagement period and continue indefinitely unless superseded by legal requirements or mutual agreement.

Advisory Fees

Specific advisory service fees will be clearly detailed in your engagement letter prior to service commencement. Fee structures may include flat fees, success-based components, or ongoing service retainers depending on service complexity.

Third-Party Compensation

Emirates Gateway may receive referral fees or commissions from banking partners. All such arrangements are disclosed to you prior to any introductions and do not influence our independent recommendation process.

Payment Terms

Payment methods, timing, and conditions are specified in your engagement letter. Standard terms typically require initial retainer payment followed by milestone or completion payments.

Fee Adjustments

Service scope expansions or material changes in circumstances may necessitate fee adjustments, which will be communicated and agreed upon in writing before implementation.

Effective Period

This Agreement becomes effective upon your engagement of our services and continues until the completion of the specified advisory scope or until terminated by either party.

Termination by Client

You may terminate this Agreement with 14 days written notice. Fees for services rendered up to termination remain payable, with any prepaid unused service fees refunded on a pro-rata basis.

Termination by Emirates Gateway

We reserve the right to terminate this Agreement with 14 days written notice, or immediately if:

• You provide materially false or misleading information
• You breach confidentiality or intellectual property provisions
• Continued service would potentially violate regulations
• Professional conflicts of interest emerge that cannot be resolved

Post-Termination Obligations

Termination does not affect accrued rights, indemnities, payment obligations, or provisions intended to survive termination by their nature.

Professional Standard

We maintain a commitment to delivering services with professional care and skill consistent with UAE financial advisory standards.

Maximum Liability

Our cumulative liability for any claims arising from this Agreement shall not exceed the total fees paid by you for the specific service component from which the claim arises.

Exclusion of Indirect Damages

We shall not be liable for any indirect, consequential, special, or punitive damages, including lost profits or opportunities, regardless of whether such damages were foreseeable.

Force Majeure

Neither party shall be liable for failures or delays resulting from circumstances beyond reasonable control, including regulatory changes, natural disasters, or systemic banking disruptions.

Time Limitation

Any claim arising from this Agreement must be commenced within one (1) year from the date the claimant knew or should have known of the facts giving rise to such claim.

Amicable Resolution

Parties shall attempt to resolve any dispute through good-faith negotiation for a period of 30 days before pursuing other resolution methods.

Mediation

Unresolved disputes shall proceed to mediation under the rules of the DIFC-LCIA Arbitration Centre before any arbitration or legal proceedings.

Governing Law

This Agreement is governed by the laws of the United Arab Emirates and the Dubai International Financial Centre (DIFC) where applicable.

Arbitration

Any dispute not resolved through negotiation or mediation shall be referred to binding arbitration under the DIFC-LCIA Arbitration Rules, with proceedings conducted in English in Dubai, UAE.

Legal Fees

The prevailing party in any dispute resolution proceeding shall be entitled to recover reasonable legal fees and costs incurred.

Entire Agreement

This Agreement, together with your engagement letter and our Privacy Policy, constitutes the entire understanding between the parties and supersedes all prior agreements or understandings.

Assignment

You may not assign your rights or obligations under this Agreement without our prior written consent. Emirates Gateway may assign this Agreement to a successor entity or as part of a corporate reorganization.

Amendments

Emirates Gateway reserves the right to modify this Agreement with 30 days' notice. Your continued use of our services following such notice constitutes acceptance of the modified terms.

Severability

If any provision of this Agreement is deemed unenforceable, the remaining provisions shall continue in full force and effect, and the unenforceable provision shall be interpreted to reflect the original intent to the maximum extent permitted by law.

No Waiver

No failure or delay in exercising any right under this Agreement shall constitute a waiver of such right. No waiver of any term shall be deemed a further or continuing waiver of such term.

Relationship of Parties

Nothing in this Agreement creates any agency, partnership, joint venture, or employment relationship between you and Emirates Gateway.
